Rule 144(b) Unlike Rule 144, Rule 144b does not require you to sell a restricted security before you can have the restrictive legend removed. You may qualify under Rule 144b to have your shares cleared for sale at any time if 1) you've held the restricted securities for at least one year following payment in full; 2) you have not been an affiliate of the issuer for at least three months; 3) you do not live in the same household as an affiliate; 4) you meet the requirements of the transfer agent and the issuing company.
